Existing Warehouse Enterprises Granted Time until 2028

Official titleCommuniqué on Amending the Communiqué on Licensed Warehouses for Grains, Legumes, and Oilseeds

The minimum capacity threshold for licensed warehouses for grains, legumes, and oilseeds has been increased to 35 thousand tons, and by increasing the paid-in capital limits according to capacity, existing enterprises have been granted a compliance period until 31 December 2028.

Before

The minimum capacity threshold for each warehouse and the minimum paid-in capital limits of licensed warehouse enterprises were lower; the phrase "Ministry of Customs and Trade" was included in the legislation.

After

The capacity of each of the headquarters and branch warehouses has been determined as at least 35,000 tons. Minimum paid-in capital requirements have been increased to between 20 million TL and 40+ million TL depending on capacity size. The title of the Ministry has been updated as "Ministry of Trade".

Details of the Regulation

With the communiqué amendment published by the Ministry of Trade, significant structural regulations have been introduced in the licensed warehousing system, which plays a critical role in the safe storage of agricultural products. With the amendment made, the minimum physical capacity threshold for each warehouse located at the headquarters and branches of licensed warehouse enterprises has been set at 35,000 tons. It is aimed that warehouses below this capacity fall out of standard or proceed with a capacity expansion.

In addition to the increase in physical capacity, minimum paid-in capital requirements have also been restructured gradually in order to increase the financial resilience of these enterprises. According to the new regulation, a minimum paid-in capital requirement of 20 million TL for capacities up to 35 thousand tons, 30 million TL for between 35 thousand and 70 thousand tons, and 40 million TL for between 70 thousand and 110 thousand tons will be sought. For enterprises whose capacity exceeds 110 thousand tons, an additional capital of 5 million TL must be added for each exceeding portion of 30 thousand tons.

Transitional provisions have been added to prevent existing enterprises from becoming victims during the compliance process with the new rules. Licensed warehouse enterprises whose capital remains below the new limits have been granted time until 31 December 2028 to bring their capital structures into compliance with the new conditions. Furthermore, transitional facilitations have been envisaged for enterprises that have initiated or completed authorization processes prior to the communiqué.

REGAS Commentary

With this communiqué, the state intends for larger-scale and financially stronger corporate structures to operate in the field of licensed warehousing. For small-scale warehouses to remain in the market, they will need to increase capital or engage in mergers. In terms of the agricultural sector, while this situation means storing products in more professional and safe hands, it may lead to concentration in storage costs and market dynamics.

Questions You Might Have

If the capacity of my existing warehouse is below 35 thousand tons, will it be closed immediately?
No, there are provisional provisions under the communiqué regarding acquired rights and capacity increase requests, and a compliance period until 31/12/2028 has been granted for the capital increase.
If I have a giant warehouse with a capacity of 140 thousand tons, what will my new capital requirement be?
To the minimum capital of 40 million TL required for 110 thousand tons, the 5 million TL to be added for each exceeding 30 thousand tons will be supplemented, and you will be required to have a total paid-in capital of at least 45 million TL.
